We may change or discontinue any aspect, service or feature of the Platforms or Products at any time, including, but not limited to, content, hours of availability, and equipment needed for access or use.
You are responsible for obtaining and maintaining all connectivity, computer software, hardware and other equipment needed for access to and use of our Platforms and Products and all charges related to the same.

If you do not agree with these Terms of Service, then do not use our Platforms or license, purchase or use any of the Products.
NO PRIVATE LEGAL REPRESENTATION EXCEPT AS EXPRESSLY PROVIDED IN THE SECTION ENTITLED “1:1 PRIVATE COACHING SESSIONS AND AI TRAINING SESSIONS”

No consultant-client relationship is formed as a result of viewing the Platforms or any of the content available herein, or submitting a contact request or email. No consultant-client relationship is formed between you and Amplified Business Solutions, LLC if you acquire any of our Products. No consultant-client relationship shall be formed without entering into a separate written engagement letter with Amplified Business Solutions, LLC, or if you have purchased a AI (as further set forth below in the section entitled “1:1 Private Coaching Sessions and AI Training Sessions”).

SCOPE OF USE - AMPLIFIED BUSINESS SOLUTIONS, LLC PRODUCTS
To the extent that you have acquired any Amplified Business Solutions, LLC Products, whether via this Website or otherwise, you are hereby granted a limited, non-transferable, non-assignable, non-sublicensable, revocable (if you breach any term or condition of these Terms of Service) license to (a) watch any training videos included with the Products, (b) download the Word and PDF version to your own computer of any templates or documents included in the Product, and (c) use and modify the Products solely for your individual use only as customized by you for your specific business. You may not sell, lease, rent, license, transfer, resell, sublicense or otherwise provide the Amplified Business Solutions, LLC Products to any third party, or use them for the benefit of any third party. However, you may use them multiple times for your business for their specific purpose only. For example, you may customize the Client Services Agreement to create a customized version for your business and then use that customized agreement with multiple clients who you are providing your services to. By way of clarification, you may not, however, give the Client Services Agreement (either the original Amplified Business Solutions, LLC template or your customized version) to friends who will use it in their businesses when they are providing services to others. Notwithstanding the foregoing, if you have purchased, licensed or otherwise acquired any Products from Amplified Business Solutions, LLC pursuant to a separate agreement, your rights under such separate agreement will control to the extent inconsistent from the above.
1:1 PRIVATE COACHING SESSIONS, TRAINING SESSION HOURS AND LEADERSHIP GUIDANCE SESSIONS - LIMITED CONSULTANT-CLIENT RELATIONSHIP
To the extent that you have purchased a 1:1 Private Coaching Session, Training Session or Leadership Guidance Session, or have purchased a Amplified Business Solutions, LLC Product which includes a 1:1 Private Coaching Session, Training Session or Leadership Guidance Session, you and Amplified Business Solutions, LLC will have entered into a limited consultant-client relationship solely for duration of the specific 1:1 Private Coaching Session, Training Session or Leadership Guidance Session, and not on an ongoing basis (unless you enter into a separate Engagement Letter for ongoing legal representation). As the 1:1 Private Legal Session, Training Session or Leadership Guidance Sessions are singular in nature for a specific, limited, period of time, you acknowledge that we may enter into 1:1 Private Legal Session, Training Session or Leadership Guidance Session or otherwise perform private legal services for any other third party anywhere in the world, including third parties that may be competitors of yours, or who may be adverse to you. In addition, you hereby waive any potential conflicts of interest for Amplified Business Solutions, LLC as a firm, and for the consultants who practice at Amplified Business Solutions, LLC individually. Notwithstanding the foregoing, Amplified Business Solutions, LLC acknowledges that any confidential information you disclose to us during a 1:1 Private Legal Session, Training Session or Leadership Guidance Session shall remain confidential even after the Session; provided however, that “confidential information” shall not include information which, at the time of disclosure by you, was (1) already known by Amplified Business Solutions, LLC, (2) independently developed by Amplified Business Solutions, LLC without reliance on your confidential information, (3) already in the public domain or public knowledge, or subsequently becomes part of the public domain or public knowledge through no fault of Amplified Business Solutions, LLC, (4) is disclosed to Amplified Business Solutions, LLC by a third party not under any written obligation of confidentiality to you, or (5) is required to be disclosed by Amplified Business Solutions, LLC pursuant to a valid law, rule, regulation or court order.
NO WARRANTIES
We have used commercially reasonable efforts to provide accurate descriptions of our Products, however, we cannot guarantee that a Product is suitable for your needs, or is error-free. We will use commercially reasonable efforts to correct errors in content or pricing as we become aware of them. We reserve the right to not honor any significant pricing errors for our Products.

AMPLIFIED BUSINESS SOLUTIONS, LLC IS NOT GUARANTEEING THAT YOUR BUSINESS WILL BE IN COMPLIANCE WITH ANY GOVERNMENTAL REGULATION (WHETHER U.S. OR FOREIGN) AS A RESULT OF FOLLOWING ANY INFORMATION CONTAINED IN ANY CONTENT ON THE PLATFORMS OR IN ANY PRODUCT AVAILABLE FOR DOWNLOAD ON THE PLATFORMS, OR THAT ANY CONTRACT OR BUSINESS DECISION YOU ENTER INTO USING ANY OF OUR PRODUCTS WILL ACHIEVE YOUR DESIRED RESULT.
PAYMENTS; REFUND POLICY.
You acknowledge and agree that you will make full payments to Amplified Business Solutions, LLC for all purchased or licensed Product(s). If you select an installment method, you authorize Amplified Business Solutions, LLC to automatically charge the credit card on file for any and all payment balances due, and you agree to keep this information current and up-to-date with Amplified Business Solutions, LLC. If any payment is insufficient or declined for any reason, we may revoke your access to the Products, without refund. There are no refunds given for any Amplified Business Solutions, LLC Products that include the ability for you to digitally download any templates, e-books, tools or other materials because they are already in your possession and while blocking your future access to Products may be possible, technology does not enable us to remove such downloaded Products from your computer.
FEEDBACK.
You acknowledge and agree that to the extent that you provide any comments, questions, survey responses, discussions, ideas, suggestions or other feedback to Amplified Business Solutions, LLC either pertaining to or through our Platforms and Products (collectively, the “Feedback”), such Feedback shall automatically become the property of Amplified Business Solutions, LLC, and may be used by Amplified Business Solutions, LLC in perpetuity without compensation to you of any kind.
PROHIBITED BEHAVIOR.
When using our Platforms, you agree not to upload, post or otherwise transmit any content that:
(a) violates any law or advocates for dangerous or illegal activities, poses a threat to others, or infringes in any way upon the rights of others, including any statements which may defame, harass, stalk or threaten others;
(b) you know to be false, misleading or inaccurate;
(c) contains or advocates pornography or sexually explicit content, pedophilia, incest, bestiality, or that is otherwise obscene, lewd, or is offensive content, hate speech, abusive, vulgar or profane.
(d) is protected by copyright, trademark, trade secret, right of publicity or other proprietary right without the express permission of the owner of such copyright, trademark, trade secret, right of publicity or other proprietary right;
(e) would be considered junk mail, spam or any other form of solicitation;
(f) contains images or names of individuals unless you have the written consent from such persons to do so; and/or
(g) contains a virus, trojan horse or other harmful element, or which could interfere with or disrupt our Platforms, servers or networks.
We may, but do not have the obligation to, monitor any information you upload to the Platforms, and we may cooperate with law enforcement with regards to any information you upload.
BREACH
You acknowledge and agree that our Platforms and Products are designed for individuals who are eighteen (18) years or older, and who have the legal authority to enter into these Terms of Service. You agree to use the Platforms and Products for lawful purposes only, and you will take no actions which infringe our intellectual property rights, or the rights of any third parties. If you violate the terms of the Terms of Service, slander, libel, defame or otherwise harm the reputation and goodwill of Amplified Business Solutions, LLC, or take any actions which could subject Amplified Business Solutions, LLC to civil or criminal liability, Amplified Business Solutions, LLC reserves the right to immediately remove your access to our Platforms and Products, without refund. In addition, Amplified Business Solutions, LLC reserves the right to seek all other remedies available at law and in equity for violations of the rules and regulations set forth on our Platforms, including violating these Terms of Service. Without limiting our other remedies, we may immediately issue a warning, temporarily suspend, indefinitely suspend or terminate your access to the Amplified Business Solutions, LLC Website (including any Amplified Business Solutions, LLC Products or services purchased) if you breach these Terms of Use or if we believe that your actions may cause legal liability for you, our users or us.
EMAIL AND ELECTRONIC TRANSMISSION OF INFORMATION

In addition, Amplified Business Solutions, LLC claims a right of privacy and publicity in the image of its founder Anna Marie Prim, and you may not use any images of Ms. Anna Marie Prim without prior written consent.
Amplified Business Solutions, LLC and Other Digital Assets are the trademarks and service marks (including any Federal registrations) of Amplified Business Solutions, LLC. Unauthorized use of any of Amplified Business Solutions, LLC’s trademarks, service marks or logos may be a violation of federal and state trademark laws.
Any trademarks or service marks of third parties referenced on any of our Platforms are the property of such third party. No claim of rights to such third party trademarks or service marks is made by us.
All content and information contained on our Platforms and in our Products are the copyrighted property of Amplified Business Solutions, LLC. Collectively, all the intellectual property rights of Amplified Business Solutions, LLC in and to the Platforms and Products (including but not limited to patents, trademarks, service marks, trade secrets, copyrights or other proprietary rights anywhere in the world, whether or not registered or unregistered) is the “Amplified Business Solutions, LLC IP.” You may not use, copy, modify, perform, display, create derivative versions of, extract, sell, have sold, make, have made, distribute, transfer, license, sublicense, assign, rent, lease, use to perform “service bureau” type services, give away, or otherwise exploit Amplified Business Solutions, LLC IP except as expressly set forth in these Terms of Service.
PROHIBITED USES OF AMPLIFIED BUSINESS SOLUTIONS, LLC IP
EXCEPT AS EXPRESSLY SET FORTH IN THE SECTIONS “SCOPE OF USE - Amplified Business Solutions, LLC LAW PLATFORMS GENERALLY”, “SCOPE OF USE - Amplified Business Solutions, LLC LAW PRODUCTS”, OR “INTELLECTUAL PROPERTY RIGHTS AND LICENSES” ABOVE, you may not modify, publish, transmit, rent, loan, participate in the transfer or sale of, create derivative works from, distribute, display, reproduce or perform, or in any way exploit in any format whatsoever any of the Platforms, Products or Amplified Business Solutions, LLC IP, in whole or in part, without our prior written consent. By way of clarification but not limitation, you may not:
(a) include any portion, no matter how small, of our Platforms, Products or Amplified Business Solutions, LLC IP in or with any product or service that you create or distribute;
(b) modify, create a derivative version of, translate, copy, record, duplicate, reproduce, rent, sell, resell, or use or otherwise exploit for any commercial purposes, any portion of our Platforms, Products or Amplified Business Solutions, LLC IP;
(c) provide to a third party, whether for free or for a fee, access to any video training, membership portals or private groups that are part of our Platforms, Products or Amplified Business Solutions, LLC IP;
(d) provide to a third party for free copies of any templates, tools or checklists that may be contained in any of our Products for use by the third party in their business;
(e) use a deep link to any page on our Platforms or Products that is not the home/primary page, or frame containing any portion of our Platforms, Products or Amplified Business Solutions, LLC IP;
(f) copy or include the content from our Platforms, Products or Amplified Business Solutions, LLC IP in your or any other website or publication; or
(g) encourage or instruct, directly or indirectly, any other person to do the same.
Use of Amplified Business Solutions, LLC IP without our express permission, or except as expressly set forth in this Terms of Service, is an infringement of our intellectual property rights, and we reserve the right to take all actions at law or in equity necessary to protect any such misuse or infringement. This may include cease and desist letters, reporting you to authorities or lawsuits for damages or specific performance.
